1. Acceptance, parties & eligibility
- Use equals agreement. These Terms bind (a) anyone who creates, pays for, or administers a couple space (“Couple Host”), and (b) anyone who uploads, views, or downloads content via a guest or gallery link (“Guest”), to the extent applicable to their use.
- Couple Hosts must be at least 18 (or the age of majority where they live) to create a space or purchase a package. Guests must have legal capacity to agree to these Terms for their uploads.
- If you use the Service for someone else (partner, planner, family), you represent you have authority to bind them.
- Our Privacy Policy explains data practices and is incorporated by reference. If there is a conflict on liability, indemnity, warranties, or remedies, these Terms control.
2. The Service; AI & third-party infrastructure
Togetherly provides tools for wedding and similar-event hosts to collect guest photos and videos via a web link, store them in a private couple space/gallery, and optionally receive AI-assisted and/or human-edited highlight or chapter reels, depending on the package purchased.
- We may modify, suspend, limit, or discontinue any feature at any time.
- No app required for typical guest use: guests open a link in a phone or desktop browser. We do not guarantee any browser, OS, or device.
- AI / automated reels: AI-assisted selection, editing, pacing, music alignment, captions, or cuts may be imperfect, incomplete, or subjectively undesirable. Output quality is not warranted. Human-edit add-ons (if purchased) remain creative services, not guarantees of any particular artistic result.
- Beta / early features: Features labeled beta, preview, or experimental are provided strictly AS IS and may break or be removed without notice.
- Third-party hosting: The Service relies on third parties (including Vercel hosting, Vercel Blob or successor object storage, CDNs, email, and messaging platforms). Their outages, deletions, policy changes, or security events are outside our sole control. You acknowledge and assume that risk, subject only to the refund remedy in Section 10 where it expressly applies.
- Marketing demos/samples are fictional illustrations only — not real customer weddings.
3. Mobile web & technology risk — READ CAREFULLY
YOU ACKNOWLEDGE THAT MOBILE WEB TECHNOLOGY, BROWSERS, OPERATING SYSTEMS, NETWORKS, DEVICES, AND CLOUD INFRASTRUCTURE ARE FICKLE AND UNRELIABLE. RESULTS CAN BE LIMITED OR FAIL COMPLETELY — INCLUDING TOTAL FAILURE OF UPLOADS, PLAYBACK, GALLERIES, REELS, LINKS, OR THE ENTIRE SERVICE.
Without limitation, failure or degradation may result from:
- Browser/OS quirks (Safari/iOS, Chrome, Android WebViews, updates, WebKit limits)
- Upload, transcode, playback, gallery, reel-generation, or sharing failures
- Network, cellular, Wi‑Fi, firewall, captive portal, or VPN issues
- Device storage, memory, battery, photo permissions, or backgrounding
- Third-party CDNs, Blob/object storage, hosting cold starts, rate limits, timeouts
- File formats (HEIC, HDR, proprietary codecs) or oversized files
- Force majeure events described in Section 15
Togetherly does not warrant uninterrupted, error-free, complete, or timely capture of every guest moment. Partial uploads, missing files, corrupt media, failed reels, broken links, or total Service failure may occur. Except for the refund expressly described in Section 10 (which is your exclusive monetary remedy for material technical failure of core purchased features), you have no claim for damages arising from such failures.
4. Couple spaces, links & access
- You are solely responsible for safeguarding setup links, guest links, gallery passwords, and any credentials.
- Anyone with your guest link may upload. Anyone with your gallery link and/or password may view or download content as configured.
- You alone control distribution of links (group text, wedding guest messaging, email, social, print, etc.) and who receives them. Forwarding by recipients is your risk.
- We may refuse, suspend, rate-limit, or delete couple spaces for Terms violations, abuse, nonpayment, legal risk, or operational reasons.
- We are not obligated to retain spaces or media indefinitely. Download and back up anything important.
5. Photos, videos & user content
Ownership & license to Togetherly
- You and Guests (as applicable) retain ownership of uploaded photos/videos (“User Media”), subject to the licenses below.
- You grant Togetherly a worldwide, non-exclusive, royalty-free, sublicensable (to processors) license to host, store, copy, process, transcode, analyze, display, transmit, backup, and otherwise use User Media solely to operate, secure, and provide the Service (including galleries, downloads, support, and reel production).
- We may use anonymized/aggregated technical and usage data to improve the Service.
Your warranties (Couple Hosts and Guests)
- You have all rights, licenses, consents, and permissions needed to upload User Media and grant the license above — including model/guest consent and parental consent where required.
- User Media does not infringe IP, privacy, publicity, or other rights; is not illegal; and complies with Section 8.
- Couple Hosts are responsible for Guest uploads into their space and for every person who obtains access via links or passwords the Couple Host shared (or that were forwarded).
- Guests warrant they will only upload content they have the right to share.
Our content rights
- We may remove, disable, or delete User Media or spaces at any time for legal, abuse, storage, inactivity, safety, or operational reasons.
- We are not responsible for content Guests post, for third-party sharing of your links/passwords, or for how recipients use downloaded media.
6. Security, leaks, hacks & unauthorized access — HOLD HARMLESS
NO SYSTEM IS PERFECTLY SECURE. You knowingly assume inherent internet and cloud risks, including hacking, phishing, ransomware, misconfiguration, insider threats, credential stuffing, forwarded links, shared or leaked passwords, device theft, CDN/storage breaches, and provider incidents.
- Togetherly uses commercially reasonable safeguards but does not warrant absolute security and does not promise that User Media or personal data will never be accessed, leaked, stolen, altered, deleted, disclosed, or misused without authorization.
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU RELEASE AND HOLD TOGETHERLY COMPLETELY HARMLESS from any and all claims, losses, and damages arising out of or related to leaked, hacked, stolen, disclosed, lost, corrupted, or unauthorized access to photos, videos, personal data, or couple-space content — whether caused by third parties, Guests, link recipients, hosting/storage providers (including Vercel/Blob), other users, or otherwise — under all circumstances, except that if a material technical failure of core purchased features also qualifies under Section 10, your exclusive monetary remedy remains the refund described there (not other damages).
- Do not treat the Service as your only copy of irreplaceable media.
7. Copyright complaints
If you believe content on the Service infringes your copyright, email hello@usetogetherly.com with: (a) your contact information; (b) description of the copyrighted work; (c) URL or location of the material; (d) a statement under penalty of perjury that you have a good-faith belief the use is unauthorized; (e) a statement that the information is accurate and you are authorized to act; and (f) your physical or electronic signature. We may remove content and terminate access for repeat infringers where appropriate.
8. Prohibited uses
- Illegal activity; harassment; non-consensual intimate imagery; any sexual content involving minors (zero tolerance)
- Malware; abusive scraping; attempts to disrupt or overload the Service; reverse engineering except as mandatory law allows
- Impersonation; accessing others’ couple spaces without authorization; reselling the Service without written permission
- Uploading content you lack rights to share
9. Intellectual property
- Togetherly’s software, site, design, trademarks, logos, templates, models, and brand are owned by Togetherly or its licensors. No license is granted except the limited right to use the Service as offered.
- User Media remains yours, subject to Section 5.
- Reel outputs delivered for your event are licensed to you for personal, non-commercial use unless we agree otherwise in writing. You may not resell our platform, models, or templates.
10. Fees, packages & refunds (exclusive monetary remedy for tech failure)
- Package prices and inclusions are as stated at purchase (e.g., Silver, Gold, Diamond) and may change for future customers.
- Refund for material technical failure: If Togetherly’s Service suffers a material technical failure that prevents delivery of the core purchased features of your paid package (for example, after a reasonable opportunity to cure, we cannot provide the private gallery/storage or the reel deliverables included in that package), you are entitled to a full refund of the fees you actually paid to Togetherly for that package.
- Exclusive monetary remedy: That refund is your sole and exclusive monetary remedy for such technical failure and for related Service unavailability or data/media loss caused by technical failure. It is a return of fees — not an admission of broader liability, and not a basis for consequential or other damages.
- No stacking: Any refund paid counts toward and satisfies the liability cap in Section 12. You cannot recover both a refund and additional money for the same or related facts.
- No other damages: We do not owe consequential, incidental, special, punitive, emotional, or reputational damages; lost profits; reshoot/photographer costs; travel; or substitute vendor fees.
- Refunds are not available for: change of mind; your or Guests’ device/network failures; misuse or oversharing of links; content you/Guests deleted; subjective dislike of AI or editorial taste when deliverables were provided; Terms violations; or failures caused solely by third parties outside our reasonable control (except where Section 10’s material-failure standard is otherwise met and we elect the refund remedy).
- Request refunds at hello@usetogetherly.com with couple-space details and a description of the failure.
11. Disclaimer of warranties (AS IS)
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS. To the maximum extent permitted by law, Togetherly disclaims all warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, and uninterrupted or error-free operation. We do not warrant that the Service will meet your expectations, capture every upload, achieve any artistic result, integrate with any device, or be secure, timely, complete, or available.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Exclusion: Togetherly and its owners, operators, officers, contractors, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits or revenue; lost, leaked, or corrupted data or media; cost of substitute services; or emotional distress — arising from the Service or these Terms — even if advised of the possibility, and even if a remedy fails of its essential purpose.
- Cap: Togetherly’s total aggregate liability for all claims relating to the Service or these Terms will not exceed the amounts you paid to Togetherly for the applicable package in the twelve (12) months immediately before the claim, or zero dollars ($0) if you paid nothing.
- Relationship to refunds: For material technical failure of core purchased features, Section 10’s refund is the exclusive monetary remedy and fulfills (and is not in addition to) this cap for those facts.
- These limits apply to contract, tort (including negligence), strict liability, statute, or any other theory.
- Some jurisdictions disallow certain exclusions; then our liability is limited to the maximum allowed by law.
13. Indemnity, release & hold harmless
You agree to defend, indemnify, and hold harmless Togetherly and its owners, operators, officers, contractors, agents, and affiliates from and against any and all third-party and other claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) User Media; (c) guest/gallery links, passwords, or how you distribute them; (d) your breach of these Terms or of law; (e) disputes among Couple Hosts, Guests, vendors, or other third parties; (f) allegations that User Media infringes or misuses another’s rights; and (g) any security, leak, hack, or unauthorized-access incident involving your space or content.
This indemnity and hold-harmless applies under all circumstances to the fullest extent permitted by law, including claims alleging Service failure, our ordinary negligence (where waivable), data incidents, or third-party misconduct. We may assume exclusive defense of any claim; you will cooperate. You also release Togetherly from claims you could assert to the same extent you hold us harmless above, except for the Section 10 refund where it expressly applies.
14. Arbitration, class-action waiver & governing law
- Governing law: State of Arizona, without conflict-of-law rules.
- Binding arbitration: Except for qualifying small-claims actions or claims for injunctive relief to protect IP, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Seat/venue: Maricopa County, Arizona (including Scottsdale). Judgment on the award may be entered in any court of competent jurisdiction.
- Class-action waiver: You and Togetherly may bring claims only in an individual capacity — not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding.
- If arbitration is found unenforceable for a particular claim, that claim will be litigated exclusively in state or federal courts in Maricopa County, Arizona; you consent to personal jurisdiction there.
- Time limit: To the extent allowed by law, any claim must be filed within one (1) year after it accrued, or be permanently barred.
15. General; survival; force majeure
- Changes: We may update these Terms by posting a revised version with a new “Last updated” date. Continued use after the effective date constitutes acceptance.
- Severability: If any provision is unenforceable, it will be modified to the minimum extent necessary, and the rest remains in effect. The class waiver is severable only as required by law.
- Entire agreement: These Terms, the Privacy Policy, and any package/checkout terms are the entire agreement regarding the Service and supersede prior understandings.
- No waiver: Failure to enforce a provision is not a waiver.
- Assignment: You may not assign without our consent; we may assign in connection with merger, acquisition, financing, or sale of assets.
- Force majeure: We are not liable for delay or failure caused by events beyond reasonable control, including acts of God, war, terrorism, labor disputes, utilities/internet/CDN/cloud-provider failures, government action, epidemics, or disasters.
- Survival: Sections 3, 5–6, and 9–15 (and any other provisions that by nature should survive) survive termination or discontinuation of the Service or your access.
- Headings are for convenience only.
